It is something made by Paninni, the overseas distributor for Marvel France, Germany, and Spain and it seems that Panini did this without permission from Marvel USA..it is the French, Spanish or German USM 1 edition inside a "museum" cover - Museum editions have been popular with Top Cow collectors, but the overhang of these covers, coupled with the fragile stock, make them an archival nightmare, IMO.
