This first copy I've had since I was a kid. The cover shows my one and only tape pull which happened not long after I bought it. I remember the ink lifted off as if the book was still wet from the presses. I learned my lesson early.

 

This second copy I received this past Christmas courtesy of @BuscemasAvengers and the Holiday Gift Exchange.

I was offered a spiderman #40 cgc 8.5...is this considering a key issue?

Yes. #40 contains the origin of the Green Goblin and is considered a classic cover (John Romita's 2nd Amazing Spider-Man cover). 

Here is a snapshot from GPA of what #40 in CGC 8.5 has sold for in 2024. That most recent sale of $413 looks like an anomaly so I would not expect to get one in 8.5 that cheap.
