Looks like a 1982 issue of Hulk v Batman.  Must of been in those heady days, prior to bankruptcy in the mid-90s. Some back story found here:

IIRC this was a photo shoot in 1983; I always intended to buy one of these signed by Stan but could not trust SLC, and couldn't get a image clean enough to print out myself for an OP.

Yeah, in the early 80's Marvel was out there doing everything.  I think this was published in one of the Marvel vanity books from back then, like the Fumetti Book or No-Prize Book... Which is more outlandish, a cheesecake pic of Stan Lee or a book of photographs from around the office with word balloons pasted in?
